TUA Platform — Business Terms

Effective date: 2026-10-26 Version: 1

These Business Terms are an agreement between CelestiNet (celestinet.com) and a business that uses TUA Platform (the "Service") through a company. They sit on top of the Terms and Conditions, which still apply to every person who uses the Service, and the Acceptable Use Policy.

1. Who these terms apply to, and how they are accepted

  1. These terms apply to every company on the Service.
  2. They are accepted for a company by one of its administrators, who confirms they have the authority to bind it. They are accepted when the company is bought or made, and again for each new version. A company that existed before a version was published is asked at an administrator's next visit; until one of them accepts, the company cannot set up new AI environments for its members or give seats to guests, while its members keep using its apps.
  3. Accepting for a company binds the company. It does not bind the administrator personally.
  4. A person without a company who gives a bot from their own AI environment to somebody else accepts these terms for themselves before they can, and is then "the customer" in these terms. Somebody who uses AI only for themselves does not need to.
  5. The Service records which company accepted, which administrator accepted for it, which version and when. On request, CelestiNet provides a copy of the accepted version with that record, for the customer to sign.

2. Words used in these terms

  • CelestiNet, we, us: CelestiNet, which owns and runs the Service.
  • The customer, you: the company (or the person under section 1.4) that accepted these terms.
  • Your users: the members of your company.
  • Your clients: anybody outside your company you let use the Service, for example a client you add to your company as a guest so they can use your bots.
  • Bot: an AI assistant you set up in the AI App, using a model you choose.
  • Your data: the information you and your users put into the Service, including information about your users and your clients.

3. What the Service is for, and your clients

  1. The Service is for your company's own work. Your users use your company's apps, including the AI you set up for your own people, so that your company's knowledge and work stay together in one place.
  2. The Service does not sell anything for your company and does not take payments for it. Whatever your company sells, it sells itself, outside the Service and under its own terms, even where it keeps its invoices and records in the Service.
  3. You do not resell the Service. If you let your clients use it, for example as guests using your bots, or if your clients or anybody else contact your company through it, that is your arrangement with them alone. CelestiNet is not a party to it, has no agreement with your clients and is not responsible to them for it, and you must not present yourself as CelestiNet or as acting for it.
  4. You must pass on to your clients the Acceptable Use Policy and your AI provider's usage rules, and make sure they follow them.
  5. You handle your clients' support, billing and privacy requests.
  6. Information about people who use the Service through you without an account of their own, and any information about children that you or your users put in, is your responsibility.
  7. You must not set the Service up to serve people under 18.

4. AI models and providers

  1. You choose the AI model each bot uses and its provider, and you supply the key. The key, the provider's terms and the cost of using it are yours. A provider may suspend or limit your key under its own terms; CelestiNet is not responsible for that.
  2. CelestiNet does not supply, resell or pay for the use of any AI model.
  3. If a provider or model is not available in your country, or not allowed there, that is a matter between you and the provider.

5. AI output

  1. AI answers can be wrong. You are responsible for checking them and for how you and your users use them, including anything published from them.
  2. Where your bots are used to make or support a decision about somebody's health, legal position, money, credit, employment or housing, a qualified person must review the answer first and the person affected must be told that AI was used (Acceptable Use Policy, section 5).

6. Telling people it is an AI

The Service labels every bot answer as written by AI. You must tell your users and your clients that they are dealing with an AI, and you must not hide the label or present a bot as a person.

7. Content and ownership

  1. You must have the rights to everything you put into the Service, including the knowledge and instructions you give your bots.
  2. You own your data and the answers your bots give you. CelestiNet owns the Service.

8. Training material

  1. CelestiNet never uses your data, or anybody's, to train, fine-tune or improve any AI model, for itself or for another customer.
  2. You may make training material for your own bots from what you hold, including your users' and your clients' conversations with your bots and the ratings they give. You must have the right to do so, and you must tell them. The Service tells a person, when they rate an answer, that the rating and the conversation go to the bot's owner.

9. CelestiNet as your operator

For your data, you are the responsible party and CelestiNet is your operator (POPIA sections 20 and 21; a "processor" under the GDPR). CelestiNet:

  1. processes your data only to provide the Service and on your instructions, which are these terms and how you use the Service;
  2. makes sure its staff who can reach your data are bound to keep it confidential;
  3. keeps the security measures described in the Privacy Policy, section 6;
  4. tells you within 72 hours of confirming a breach that affects your data, with what it knows, and keeps you informed;
  5. helps you answer requests from people about their information, through the Service's own tools where they exist (for example a person's AI data can be exported or deleted from the AI App);
  6. uses only the providers listed in the Privacy Policy, section 4, and announces a new one by publishing a new version of that Policy before the provider receives any of your data;
  7. deletes your data when these terms end, as section 14 says, apart from what the law requires us to keep (for example invoices).

10. Where your data is held

Your data is held on the Service's server in Helsinki, Finland (European Union), and backup copies are kept in South Africa (Privacy Policy, section 10). The AI provider and the web search service you choose for your bots may process data wherever they operate; each bot's page names its provider.

11. API access

The AI App's API keys are issued only to CelestiNet's own staff (Terms, section 8). API access to your bots for anybody else is available only under a separate written agreement.

12. Suspension, and what CelestiNet's support may do

  1. CelestiNet may suspend a bot, an AI environment or your company if it is used in breach of the Acceptable Use Policy or these terms, or where the law requires. Where we can, we tell the company's administrators first and say why.
  2. CelestiNet's support may, with a written reason recorded each time: suspend and restore your company; appoint an administrator when your company has none who can act; add or remove members at your request; and close your company at your request or for a serious breach. Support does not appoint an administrator for a company that already has one.

13. Liability and indemnity

  1. CelestiNet's limitation and cap on liability in the Terms (section 13) cover the AI features as well.
  2. CelestiNet is not responsible for what an AI model says, or for what you, your users or your clients do with it.
  3. You will cover CelestiNet against claims by your users and your clients, and against claims arising from your bots, your model provider, your data or your breach of these terms.
  4. Nothing in these terms limits liability that the law does not allow to be limited.

14. When these terms end

  1. Your company's administrators can close the company at any time on its Apps and billing page. CelestiNet may end these terms for a serious breach, with notice where it can.
  2. When a company closes, its administrators can download its data for 30 days. During those days the company is frozen: its members cannot use its apps and nothing new is written, while its administrators can download the export and cancel the closing.
  3. After the 30 days the company and its data are deleted. Your clients' access through your company ends with it. Invoices and orders are kept as the Privacy Policy, section 5, says.
  4. The export holds every table and file the company has, except the passwords in the company vault and stored secrets, and with TUA Chat messages from public channels only.

15. Which document applies

Where these terms and the Terms and Conditions differ for a business, these terms apply. Purchases for a company are paid in the same ways as personal ones; the Refund Policy covers them, and the Privacy Policy, section 4.2, names who receives payment details.

16. Changes to these terms

CelestiNet may change these terms by publishing a new version. Every version stays readable on the Service. A new version is accepted again for each company as section 1 says.
